Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NEXUS Relationship Intelligence Platform ("NEXUS," the "Service") operated by RMonaghan Venture Studios ("RMVS," "we," "us," or "our"), headquartered in Pittsburgh, Pennsylvania.

By creating an account or using NEXUS, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using NEXUS on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To use NEXUS, you must:

• Be at least 13 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

You agree not to use NEXUS to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to other users' accounts or data
• Scrape, crawl, or harvest data from the platform without authorization
• Engage in abusive, harassing, or fraudulent activity
• Interfere with the operation or performance of the Service
• Use the platform for unsolicited bulk communications (spam)
• Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to investigate and take appropriate action against violations, including account suspension or termination and reporting to law enforcement.

Your Data

You retain full ownership of all data, content, and materials you upload or create within NEXUS ("Your Data"). By using the Service, you grant us a limited license to host, store, and display Your Data solely for the purpose of providing the Service to you.

Our Platform

NEXUS, including its design, code, features, documentation, trademarks, and all associated intellectual property, remains the exclusive property of RMonaghan Venture Studios. Nothing in these Terms grants you rights to our intellectual property beyond the limited right to use the Service as intended.

Feedback

If you provide suggestions, ideas, or feedback about NEXUS, we may use that feedback without obligation to you. You acknowledge that we are not required to implement any feedback you provide.

Plans

NEXUS offers the following subscription tiers:

• Free — limited features, no charge
• Pro — $29 per month
• Team — $79 per seat per month

Billing

Paid subscriptions are billed in advance on a monthly basis via Stripe. You authorize us to charge the payment method on file for recurring subscription fees. All fees are stated in US dollars and are non-refundable except as required by law.

Changes to Pricing

We may change subscription pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period. Continued use after a price change constitutes acceptance of the new pricing.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Free tier. Your data will be retained and accessible on the Free plan.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using NEXUS, you consent to the practices described in the Privacy Policy.

We implement reasonable technical and organizational measures to protect Your Data, including encryption, access controls, and logical tenant isolation in our multi-tenant architecture.

We strive to maintain high availability of the NEXUS platform but do not guarantee uninterrupted or error-free operation. NEXUS is currently in beta and is provided on an "as is" and "as available" basis.

Self-serve plans do not include Service Level Agreements (SLAs) during the beta period. Enterprise SLAs may be available under a separate written agreement. We may perform scheduled maintenance, deploy updates, or experience unplanned outages. We will make reasonable efforts to notify users of planned downtime in advance.

To the maximum extent permitted by applicable law, RMVS and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to RMVS in the twelve (12) months preceding the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

You agree to indemnify, defend, and hold harmless RMVS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Service, or your violation of any rights of another party.

We may suspend or terminate your access to NEXUS at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, fraudulent activity, non-payment, or extended inactivity.

Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be permanently deleted.

Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Allegheny County, Pennsylvania. You consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on the platform or notifying you via email. Your continued use of NEXUS after changes are posted constitutes acceptance of the revised Terms.

If you disagree with any changes, you may terminate your account before the changes take effect.

• Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and RMVS regarding the Service.
• Severability — If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver — Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment — You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
